Our Basic Fees

New York Business Entity Formation

LLC or Corporation

$ 225.00 plus NYS fees & publication costs

The Basic New York Startup Package includes the following:

  • A brainstorming and strategy telephone session (up to 15 min) to discuss your business, choice of entity (e.g. LLC, corporation, etc.) & answer any questions
  • Unlimited emails re: topic
  • Preparation of documents & filing application to form your NY company
  • Assistance with compliance related to publishing requirements of your new entity, if applicable.
  • Obtaining Employer Identification/tax ID (EIN) number
  • Business development guidance

PLLC or P.C.

$ 325.00 plus NYS fees & publication costs

  • NYS Professional Limited Liability Companies (PLLCs) and Professional Corporations (PCs) can only be formed by certain licensed professionals. Forming a professional business entity in New York is similar to forming a regular business entity, however there are additional rules and regulations to comply with.

Document Preparation

The flat fee for preparing any document listed below (up to 4 pages) is $250.00. The fee also includes unlimited emails (concerning the document) and two (2) telephone sessions. The first call (up to 5 minutes) is to discuss particulars to be included in the document & the second call (up to 10 minutes) is to go over the modifications emailed to you. (additional pages $75.00/ea.) If you are looking for a different or more complicated document, no worries...just email us for more information.

Operating Agreement for LLC

  • An Operating Agreement governs the internal affairs of the limited liability company. According to New York Limited Liability Company Law - LLC § 417, every New York LLC is required to have a written operating agreement in place. 

By-Laws for Corporation

  • Corporate Bylaws are a set of written rules used by a corporation to organize its internal management. Company bylaws also outline the policies and responsibilities for the shareholders, directors, and officers of a corporation.
  • Under New York Business Corporation Law - BSC § 601,  the initial by-laws of a corporation shall be adopted by its incorporator or incorporators at the organization meeting.

Articles of Organization

  • The Articles of Organization is the formation document used to create a limited liability company. (Document only - filing not included)

Certificate of Incorporation

  • A Certificate of Incorporation is the founding document that establishes and organizes a corporation. (Document only - filing not included)

Confidentiality Agreement / Non-disclosure Agreement (NDA)

  • Confidentiality/Non-disclosure agreements help prevent business partners, employees or others from disclosing confidential and proprietary information of a company.

Non-Compete Agreement

  • Non-Compete Agreements help a company retain valuable employees, protect confidential information, such as its intellectual property or its trade secrets and customers, and prevent unfair competition.  Restrictions can be for a specific amount of time, in a specific field, and/or a specific geographical area.

Independent Contractor Agreement

  • An Independent Contractor Agreement is a contract that sets forth the terms of the working arrangement between a  contractor a/k/a freelancer and another party (who is not an employer). 
  • The agreement typically includes a description of the services to be provided, the term or length of the relationship, payment and billing details, confidentiality, non-solicitation, and other clauses.

Employment Agreement

  • An Employee Agreement or contract is a document entered into between employees and employers which lays out the rights, responsibilities, and obligations of both parties during the employment period.
  • The terms will include salary, benefits, work schedule, vacation time, confidentiality, non-compete provisions, etc. 


Document Review

We will review any document, contract or form (must be emailed as a Word, JPG, or PDF attachment - min. font size of 10) and then forward you our comments, including any suggested modifications, by email. In addition, you will also receive one (1) telephone session (up to 10 minutes) and unlimited emails to discuss the changes and any other issues relating to the document.

Trademark or Service Mark Registration

Basic Trademark or Service Mark (standard character mark) registration includes the following:

  • A brainstorming and strategy telephone session to determine a.) if you are ready and prepared to file; b.) the type of filing (in commerce or intent to use); c.) the number of categories/classes to be filed; d.) filing fees and possible extra fees involved when the USPTO responds with an Office Action letter and; e.) timeline for USPTO response
  • Unlimited emails concerning the registration

  • Basic preliminary direct hit search performed on your Word or Standard Character mark.  This will include a basic search on of the USPTO.gov website (Trademark Electronic Search System, or TESS), a New York State Department of State Entity Name search, and a general online search.  (NOTE: It is highly recommended that an independent Comprehensive Trademark Search also be performed for all marks being registered.  This search is outside the scope of this package and is not included in the fee.) 

  • Prepare and e-file application for basic Word or Standard Character mark.
